Welcome to NewWave AI (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our AI-powered services, including lead generation, ad campaigns, AI voice agents, AI chatbots, SMS qualification, AI follow-ups, AI email campaigns, and social media automation (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

You must be 18 years or older.

Services are available only to individuals or businesses located in Canada and the USA.

Services are intended for business use only.

2. Account Registration & Responsibilities

You must provide accurate and complete information during registration and maintain it.

You must respond to our requests for information within 48 hours to allow us to set up your AI system effectively.

You are responsible for maintaining the confidentiality of your account credentials.

You agree not to use the Services for illegal, harmful, or unauthorized purposes.

3. Payment Terms

Our Services are offered via subscription plans, ranging from $300 to $10,000 per month, depending on the package.

Payments are billed monthly unless otherwise agreed.

Refunds are not guaranteed except where required by law.

You are responsible for all taxes and fees associated with your subscription.

4. Company Rights

We reserve the right to modify, suspend, or discontinue the Services at any time without prior notice.

We may suspend or terminate your account if you violate these Terms or for any other lawful reason.

We may update these Terms from time to time; continued use of the Services constitutes acceptance of the updated Terms.

5. Intellectual Property

NewWave AI Content: All software, AI models, code, content, and materials provided by NewWave AI are owned by us and protected by intellectual property laws.

Client Data & AI Outputs: Data you provide and AI-generated outputs for your account remain your property, but you grant NewWave AI a limited license to use the data solely to provide Services.

You agree not to copy, reproduce, modify, or distribute our proprietary content without prior written permission.

6. Limitation of Liability

The Services are provided “as-is” without warranties of any kind.

We do not guarantee specific results, including lead generation or conversion rates.

We are not liable for indirect, incidental, or consequential damages arising from your use of the Services.

While we strive for accuracy, AI-generated outputs may contain errors or inaccuracies, and you assume responsibility for their use.

7. Governing Law & Dispute Resolution

These Terms are governed by the laws of Quebec, Canada.

Any disputes arising from these Terms or the Services will be resolved in the courts of Quebec.

Parties agree to attempt good faith negotiation before pursuing litigation.

8. Termination

You may cancel your subscription at any time in accordance with your plan’s cancellation policy.

We may terminate your access for breach of these Terms or other lawful reasons.

Upon termination, your data may be deleted or archived according to our data retention policy.

9. AI Usage & Fair Use Policy

Services are intended for ethical and lawful business purposes only.

Users must not manipulate AI outputs for fraudulent, misleading, or illegal activity.

API usage, message sending, and automation are subject to reasonable fair use limits.

We reserve the right to suspend or limit access if these limits are exceeded or Terms are violated.
